Last Updated: September 26, 2026
IMPORTANT: PLEASE READ THESE TERMS CAREFULLY BEFORE USING FIRELOOP DESIGNER. SECTION 2 CONTAINS CRITICAL LIFE SAFETY AND ENGINEERING DISCLAIMERS. SECTION 9 & 11 CONTAIN LIMITATIONS OF LIABILITY AND A MANDATORY CLASS ACTION WAIVER.
1. Acceptance of Terms & Binding Agreement
These Terms of Service ('Terms', 'Agreement') constitute a legally binding agreement between you ('User', 'you', or 'your') and FireLoop Designer ('Company', 'we', 'us', or 'our') governing your access to and use of the FireLoop Designer software application, websites, tools, services, and reports (collectively, the 'Service').
By registering for an account, accessing, browsing, downloading, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these Terms, you are expressly prohibited from using the Service and must immediately discontinue use.
2. CRITICAL DISCLAIMER: Life Safety & Professional Engineering Notice
2.1 NO CERTIFIED ENGINEERING SERVICES: FireLoop Designer is strictly a preliminary design aid, calculation helper, and administrative workflow tool intended solely for use by qualified fire alarm technicians and engineers. The Service does NOT constitute certified electrical engineering, structural engineering, acoustic modeling, or professional engineering consultation.
2.2 NO GUARANTEE OF CODE COMPLIANCE: The Service, including any visual loop diagrams, address validation algorithms, device address checks, voltage drop estimations, component capacity calculations, and generated PDF/CSV reports, is provided for informational and preliminary planning purposes only. Company does NOT warrant or guarantee that outputs comply with National Fire Alarm and Signaling Code (NFPA 72), EN54, BS 5839, International Building Code (IBC), local Authority Having Jurisdiction (AHJ) requirements, or any other regional, national, or international fire safety standards.
2.3 USER RESPONSIBILITY FOR VERIFICATION & TESTING: You assume sole, complete, and exclusive responsibility for verifying all device addresses, loop capacities, electrical loads, wire gauges, isolator placements, panel compatibility, physical field connections, and regulatory compliance. All final fire alarm designs, installations, and commissioning MUST be reviewed, validated, approved, and stamped by a licensed Professional Engineer (PE) or qualified certified authority prior to physical installation or operational sign-off.
2.4 ABSOLUTE RELEASE OF LIABILITY FOR LIFE SAFETY FAILURES: UNDER NO CIRCUMSTANCES SHALL COMPANY BE LIABLE FOR ANY PROPERTY DAMAGE, ALARM MALFUNCTION, SYSTEM FAILURE, NOTIFICATION FAILURE, BODILY INJURY, LOSS OF LIFE, CODE VIOLATION FINES, OR FIELD RE-ENGINEERING COSTS ARISING FROM RELIANCE ON ANY DIAGRAM, REPORT, VERIFICATION TOOL, OR CALCULATION GENERATED BY THE SERVICE.
3. User Accounts, Security & Eligibility
3.1 ELIGIBILITY: You must be at least eighteen (18) years of age or the age of legal majority in your jurisdiction to create an account or use the Service. By creating an account, you represent and warrant that you meet this age requirement and possess the legal authority to bind yourself or the corporate entity you represent.
3.2 ACCOUNT CONFIDENTIALITY: You are solely responsible for maintaining the confidentiality of your account credentials, login email, and password, as well as restricting access to your devices. You accept full responsibility for all activities, modifications, data entries, and subscription charges occurring under your account.
3.3 PROMPT NOTIFICATION: You agree to notify Company immediately at support@fireloopdesigner.com of any unauthorized access, breach of security, or suspected compromise of your account credentials.
4. Free Trials, Subscriptions & Payment Terms
4.1 FREE TRIALS: Company may offer free trial periods at its sole discretion. Unless canceled prior to the expiration of the trial period, your account may automatically transition to a paid subscription or lose access to premium design features.
4.2 SUBSCRIPTION & RENEWAL: Paid plans are billed in advance on a recurring subscription basis (monthly or annually). Subscriptions automatically renew for successive billing periods at the then-current standard rates unless canceled at least twenty-four (24) hours prior to the end of the active billing cycle.
4.3 NON-REFUNDABLE FEES: All fees, subscription charges, and payments made to Company are non-refundable to the maximum extent permitted by applicable law. Company does not offer pro-rated refunds for partial subscription periods, unused features, or immediate account cancellations.
4.4 SUSPENSION FOR NON-PAYMENT: Company reserves the right to suspend or terminate your account access, project storage, and report generation capabilities immediately upon any failure to process valid payment charges, credit card expiration, or payment chargebacks.
5. Intellectual Property Rights & License Restrictions
5.1 PROPRIETARY RIGHTS: The Service—including its software architecture, source code, visual design system, UI components, diagram generator algorithms, databases, graphics, logos, trade dress, and documentation—is the exclusive intellectual property of Company and its licensors, protected under copyright, trademark, trade secret, and patent laws.
5.2 LIMITED LICENSE: Subject to your compliance with these Terms, Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business operations and legitimate fire alarm design projects.
5.3 PROHIBITED CONDUCT: You shall not, directly or indirectly: (a) copy, modify, translate, frame, mirror, or create derivative works of the Service; (b) reverse engineer, decompile, disassemble, or attempt to extract source code or underlying algorithms; (c) sell, resell, lease, sublicense, distribute, or time-share access to the Service; (d) scrape, mine, or extract data via automated bots, crawlers, or scripts; (e) remove or alter any proprietary notices or copyright legends.
6. User Data & Content License
6.1 USER OWNERSHIP: You retain ownership of all project data, component specifications, floor layout notes, and building records uploaded or inputted into the Service by you ('User Content').
6.2 SERVICE LICENSE: You grant Company a worldwide, royalty-free, non-exclusive license to host, store, execute, copy, reformat, transmit, and display User Content solely as necessary to operate, maintain, back up, update, and deliver the Service to you.
6.3 DATA BACKUP RESPONSIBILITY: While Company performs routine cloud data backups, you are solely responsible for exporting and retaining independent backups of all critical fire alarm design files, loop sheets, reports, and project data. Company disclaims all liability for data corruption, loss, or accidental deletion.
7. AI Features & Third-Party Integrations
7.1 AI ASSISTANT DISCLAIMER: The Service may include artificial intelligence (AI) diagnostic features, automated prompts, or design assistants. AI outputs are generated non-deterministically and are provided strictly for experimental or educational suggestions. AI responses MUST NOT be treated as technical design instructions, code compliance guarantees, or engineering facts.
7.2 THIRD-PARTY INFRASTRUCTURE: The Service relies on third-party cloud service infrastructure (including Firebase, Google Cloud, and payment gateway providers). Company is not responsible or liable for third-party service outages, network failures, data center disruptions, or API changes.
8. Complete Disclaimer of Warranties
8.1 'AS IS' & 'AS AVAILABLE': THE SERVICE IS PROVIDED ON AN 'AS IS', 'AS AVAILABLE', AND 'WITH ALL FAULTS' BASIS. TO THE MAXIMUM EXTENT PERMISSIBLE UNDER APPLICABLE LAW, COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, SYSTEM INTEGRATION, AND ACCURACY.
8.2 NO UNINTERRUPTED OPERATION: COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, TIMELY, ERROR-FREE, FREE OF VIRUSES OR HARMFUL COMPONENTS, OR THAT DEFECTS IN CALCULATIONS OR ADDRESS VALIDATION WILL BE CORRECTED.
9. Limitation of Liability & Maximum Damages Cap
9.1 EXCLUSION OF INDIRECT DAMAGES: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, BUSINESS INTERRUPTION, LOSS OF GOODWILL, LOSS OF DATA, EQUIPMENT DAMAGE, COST OF COVER, OR LIFE SAFETY CLAIMS, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.2 MAXIMUM AGGREGATE LIABILITY CAP: IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF COMPANY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD), WHICHEVER IS GREATER.
10. Indemnification & Hold Harmless
You agree to defend, indemnify, and hold harmless Company, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, partners, and licensors from and against any and all claims, demands, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal and attorney's fees) arising out of or relating to: (a) your use of or access to the Service; (b) any fire alarm designs, loop sheets, calculations, installations, or projects created using the Service; (c) your breach or violation of these Terms; (d) your violation of any third-party right, including intellectual property or privacy rights; or (e) any violation of local building or fire safety codes.

11.2 CLASS ACTION WAIVER: YOU AND COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, REPRESENTATIVE PROCEEDING, OR PRIVATE ATTORNEY GENERAL ACTION.
12. Governing Law, Severability & Entire Agreement
12.1 GOVERNING LAW: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Company is registered, without giving effect to any conflict of law principles.
12.2 SEVERABILITY: If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
